The Register

Terms of Service

These Terms govern your use of The Register, the software platform operated by Shivakanya Tech. By creating an account or using the Service, you agree to these Terms.

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you (the studio, school, organization, or individual registering for an account) and Shivakanya Tech ("we," "us," or "Platform"), regarding your access to and use of The Register and related websites, apps, and services (collectively, the "Service").

If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. The Platform vs. your studio

The Register provides software tools for roster management, attendance, waivers, content, scheduling, and related workflows. We are a technology provider—not your studio, not a school, and not a merchant of student tuition.

  • You operate your studio or program, set tuition and fees, collect (or fail to collect) payment from students and parents, and are responsible for your teaching, facilities, instructors, and compliance with laws that apply to your business.
  • We provide the software and related support. We do not guarantee enrollment numbers, payment collection rates, or the outcome of any class or program you run.
  • Student and parent tuition payments processed through Stripe Connect are charged on your connected Stripe account. You are the merchant of record for those payments. Platform subscription fees for The Register are billed separately to you by us.

3. Accounts and eligibility

You must provide accurate registration information and keep it current. You are responsible for safeguarding login credentials and for activity under your account, including staff accounts you create.

  • You must be at least 18 years old (or the age of majority where you live) to open a studio account.
  • Student and parent portal accounts are created or invited under your school's control; those users must follow your policies and these Terms where applicable.
  • You may not share admin credentials publicly or allow unauthorized access to the Service.

4. Acceptable use

You agree not to misuse the Service. Without limitation, you will not:

  • Violate any applicable law, including privacy, consumer, tax, or education-related rules that apply to your operations.
  • Upload malware, attempt to probe or disrupt the Service, or reverse engineer the platform except as allowed by law.
  • Use the Service to harass, defraud, or impersonate others, or to store illegal content.
  • Resell or white-label the Service without our written permission.
  • Circumvent plan limits, billing, or security controls.

We may suspend or terminate access for conduct that we reasonably believe violates these Terms or harms other users, payment processors, or the Platform.

5. Subscriptions, billing, and cancellation

Platform fees

Paid plans for The Register (for example Growth, Pro, or Academy) are billed according to the plan you select. Prices are shown in the product and on our pricing page. Applicable sales tax may be calculated at checkout. Unless stated otherwise, fees are non-refundable except where required by law or expressly offered by us in writing.

Trials and free tier

Free or trial access may be limited by student count or features. We may change free-tier limits with reasonable notice. Converting to a paid plan authorizes recurring charges until you cancel.

Cancellation

You may cancel a paid subscription through the billing portal or by contacting us. Cancellation typically stops future renewals; you retain access through the end of the paid period unless we state otherwise. Downgrading may reduce features or student capacity.

Failed payments

If a charge fails, we may retry, restrict paid features, or suspend the account until payment succeeds.

6. Student and parent data

Your roster, registration forms, waivers, invoices, and related records may include personal information about students, parents, and staff.

  • For student/parent data you collect through the Service, you are the data controller (or equivalent under applicable law). You decide what to collect, how long to keep it, and how to respond to family requests.
  • We process that data on your behalf to provide the Service (hosting, backups, email delivery, payment workflows, support). See our Privacy Policy for how we handle personal information.
  • You are responsible for obtaining any consents or notices required before uploading minors' or parents' information, and for configuring waiver and registration content that meets your legal needs.

7. Payments, Stripe, and taxes

Card and related payments are processed by Stripe, Inc. and its affiliates ("Stripe"). Stripe's terms and privacy policy also apply to payment processing. We do not store full card numbers on our servers.

  • Studio tuition (Connect): When you connect a Stripe Express (or similar) account, you authorize Stripe to settle student/parent charges to your connected account. Payout timing, disputes, chargebacks, and KYC requirements are governed by Stripe and your connected-account agreement. We are not responsible for Stripe declining an account, holding funds, or reversing payments.
  • Platform subscriptions: Charges for The Register plans are billed to you as our customer, separate from tuition you collect.
  • Taxes: You are solely responsible for determining, collecting, reporting, and remitting taxes related to your tuition, fees, and business operations. Platform subscription tax may be collected where configured; that does not relieve you of tax obligations for your own sales.
  • Optional payment methods you configure (for example Zelle) are arrangements between you and the payer. We only provide tooling to record or verify what you configure.

8. Your content and intellectual property

You retain ownership of content you upload (rosters, materials, logos, waiver text, announcements). You grant us a limited license to host, process, and display that content solely to operate and improve the Service.

The Service—including software, design, trademarks, and branding of The Register—is owned by Shivakanya Tech or its licensors. You receive a non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms.

9. Third-party services

The Service may integrate with third parties (including Stripe, email delivery providers, and hosting). Those services are subject to their own terms. We are not responsible for third-party outages, policy changes, or acts beyond our reasonable control.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA LOSS WILL NEVER OCCUR. YOU ARE RESPONSIBLE FOR MAINTAINING APPROPRIATE BACKUPS OF CRITICAL BUSINESS RECORDS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Shivakanya Tech AND ITS AFFILIATES, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR PLATFORM SUBSCRIPTION FEES IN THAT PERIOD (OR ONE HUNDRED U.S. DOLLARS IF YOU ARE ON A FREE PLAN).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You will defend, indemnify, and hold harmless Shivakanya Tech and its personnel from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your studio operations, classes, instructors, facilities, or marketing; (c) student or parent disputes, chargebacks, or tuition collection; (d) your content or data; or (e) your violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time and cancel as described above. We may suspend or terminate access immediately for material breach, illegal activity, non-payment, or risk to the platform or other users. Upon termination, your right to use the Service ends. We may delete or retain data as described in the Privacy Policy and as needed for legal, security, or billing records.

14. Changes

We may update these Terms from time to time. The "Last updated" date at the top will change when we do. Material changes may be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of Washington, United States of America, without regard to conflict-of-law rules. Courts located in Washington State will have exclusive jurisdiction over disputes arising from these Terms, except where prohibited by law or where a mandatory consumer protection venue applies.
